TotalEnergies sells GreenFlex affiliate to Oteis as part of strategic refocus

TotalEnergies has agreed to sell its sustainable consultancy and solutions affiliate, GreenFlex, to the French consulting and engineering group Oteis. The transaction aligns with TotalEnergies’ strategy to focus on energy production and supply.

Oteis operates in construction, water and development, infrastructure, and industry, with more than 800 employees across France and Europe. The company has expanded by integrating new teams from acquisitions similar to GreenFlex in recent years.

Oteis plans to use GreenFlex’s experience in environmental and social consultancy, low-carbon energy performance, and transition financing to build a broader range of services for its markets. For GreenFlex staff, the acquisition is seen as an opportunity for growth into new markets while continuing efforts on sustainability, decarbonization, and energy efficiency.

After the sale is complete, TotalEnergies will remain a major customer of GreenFlex through a contract for producing French Energy Saving Certificates (CEEs).

The deal’s completion depends on standard conditions such as consultation with employee representatives and approval from competition authorities.

GreenFlex supports businesses and regional authorities through all project stages from planning to monitoring by combining consultancy services with digital tools and financing options. The company operates out of nineteen offices across France and Europe.

Oteis describes itself as an independent French consulting group working in various sectors including construction and infrastructure. Its teams assist both public and private clients throughout all phases of their projects—from planning through renovation—with a focus on technical expertise combined with innovation aimed at value creation and low-carbon outcomes.

Completion of this transaction would create a larger player in sustainable consultancy services within Europe.
